Lenix Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the websites, applications, software, and services provided by Dig Dev LLC, doing business as Lenix Health (“Lenix,” “we,” “us,” or “our”), including LenixHealth.com and the Lenix platform (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a hospital, healthcare organization, care provider, facility, company, or other organization, you represent that you are authorized to act on behalf of that organization and to use the Services in connection with your role. If you do not agree to these Terms, you should not use the Services.
1. The Lenix Services
Lenix provides technology designed to facilitate care referrals, placement workflows, communication, information exchange, provider matching, and related administrative activities among authorized organizations and users. Depending on the Services being used, Lenix may provide functionality that allows users to:
- Create and manage accounts
- Submit and manage placement requests
- Upload and process information and documents
- Identify potentially compatible care providers
- Communicate placement opportunities
- Review and respond to placement requests
- Coordinate assessments and placement activities
- Track placement status and workflow activity
- Receive account, referral, placement, and service notifications
Features may be added, modified, suspended, or discontinued over time.
Acceptance of these Terms is separate from optional SMS consent. SMS consent is governed by our SMS & Electronic Communications Terms and Privacy Policy.
2. Lenix Is a Technology Platform
Lenix provides technology and workflow services. Unless expressly stated otherwise in a separate written agreement, Lenix is not a hospital, healthcare provider, assisted living facility, residential care provider, insurer, government agency, or clinical decision-maker. Lenix does not provide medical advice, diagnosis, treatment, nursing services, or other professional healthcare services. Lenix does not make the final determination regarding:
- Whether an individual should be discharged
- Whether a particular facility is appropriate for an individual
- Whether an individual qualifies for a particular program or benefit
- Whether a provider can safely meet an individual's needs
- Whether a provider should accept an individual
- Whether an admission should occur
- What medical or care services an individual should receive
Those decisions remain the responsibility of the applicable healthcare professionals, organizations, providers, patients, representatives, and other authorized parties.
3. Eligibility and Authority
You must be legally capable of entering into these Terms to use the Services. If you use Lenix in connection with your employment or professional responsibilities, you represent that you are authorized to use the Services for those purposes. You may not access patient, referral, provider, organizational, or other restricted information unless you are authorized to do so. Additional agreements may apply to hospitals, healthcare organizations, providers, facilities, or other organizations using certain Lenix Services.
4. Accounts and Account Security
Certain Services require an account or verified access. You agree to provide accurate and current information and to maintain the accuracy of information associated with your account. You are responsible for:
- Maintaining control of devices used to access Lenix
- Protecting authentication codes and other access credentials
- Preventing unauthorized use of your account
- Using your account only for authorized purposes
- Promptly notifying Lenix if you become aware of unauthorized access or suspected account compromise
You may not knowingly allow another person to impersonate you or use your account in a manner that circumvents Lenix's access controls. Lenix may use mobile telephone verification, one-time codes, or other authentication technologies to verify access.
5. Information Submitted to Lenix
Users and organizations may submit information, documents, records, placement criteria, provider information, communications, and other content through the Services (“User Content”). You retain any rights you or your organization may have in User Content. By submitting User Content, you authorize Lenix to host, store, process, transmit, display, organize, and otherwise use that information as reasonably necessary to provide, secure, maintain, and improve the Services and fulfill Lenix's contractual and legal obligations. You represent that you have the authority necessary to submit User Content and permit Lenix to process it for the intended purpose. Additional restrictions and obligations may apply to healthcare information and protected health information (“PHI”) under applicable law and separate agreements.
6. Accuracy of Information
Lenix relies on information supplied by hospitals, providers, users, third parties, and automated systems. Users are responsible for reviewing information relevant to their decisions. Lenix does not guarantee that information available through the Services is complete, current, error-free, or suitable for a particular decision. Providers and facilities are responsible for maintaining accurate information regarding their services, capabilities, availability, licensing, rates, payment sources, admission requirements, and other information they provide through Lenix.
7. Automated Processing and Matching
Lenix may use automated technologies to assist with document processing, information extraction, organization, workflow management, placement criteria, compatibility analysis, and identification of potentially compatible providers. Automated technologies can make mistakes or produce incomplete results. Lenix's matching, extraction, and automated processing features are intended to assist authorized users and do not replace professional judgment or independent review. Users remain responsible for reviewing relevant information and making their own clinical, eligibility, placement, care, financial, and admission decisions. Identification of a provider as a potential match does not constitute a recommendation, endorsement, guarantee of availability, or determination that the provider can safely or appropriately serve a particular individual.
8. Provider and Facility Information
Information concerning providers or facilities may originate from providers, public records, licensing sources, third-party data, or other sources. Lenix may organize and display this information to facilitate placement workflows. The presence of a provider on Lenix does not constitute an endorsement or guarantee by Lenix regarding that provider's:
- Licensing status
- Availability
- Quality of care
- Services
- Staffing
- Pricing
- Regulatory compliance
- Financial condition
- Suitability for a particular individual
Hospitals, patients, families, representatives, and other users remain responsible for performing whatever independent review they consider appropriate before making placement or care decisions.
9. Acceptable Use
You may use Lenix only for lawful and authorized purposes. You may not:
- Access information you are not authorized to access
- Attempt to bypass authentication or security controls
- Share restricted information with unauthorized individuals
- Misrepresent your identity, organization, authority, services, availability, or capabilities
- Use information obtained through Lenix for an unauthorized purpose
- Scrape, harvest, systematically copy, or extract information from the Services except as expressly authorized
- Introduce malware, malicious code, or other harmful technology
- Interfere with the operation or security of the Services
- Probe or test Lenix systems for vulnerabilities without written authorization
- Reverse engineer or attempt to derive protected source code except where applicable law expressly permits it
- Use the Services to violate another person's privacy or legal rights
- Use Lenix for fraudulent, abusive, discriminatory, or unlawful activities
Lenix may restrict or terminate access when we reasonably believe the Services are being misused or these Terms have been violated.
10. Healthcare and Patient Information
Certain Lenix Services may involve patient or healthcare information. Users may access or submit such information only when authorized and for legitimate purposes related to their professional responsibilities or the applicable placement workflow. Where Lenix processes PHI on behalf of an organization subject to HIPAA, additional obligations may be established through a Business Associate Agreement (“BAA”), organizational agreement, provider agreement, or other applicable agreement. These Terms do not replace any BAA or other healthcare-specific agreement between Lenix and an organization.
11. Electronic Communications
By providing an email address or mobile telephone number and using the Services, you acknowledge that Lenix may send electronic communications related to your account and use of the Services, including:
- Verification and authentication messages
- Security notifications
- Placement and referral notifications
- Requests requiring your attention
- Workflow updates
- Service announcements
- Customer support communications
SMS and other electronic communications may be subject to our SMS & Electronic Communications Terms. Your consent to receive marketing communications, where applicable, will be handled separately when required by law.
12. Third-Party Services
Lenix may rely on or integrate with third-party services, including cloud infrastructure, communications providers, analytics services, document-processing technologies, and other technology providers. Third-party services may be governed by their own terms and privacy practices. Lenix is not responsible for third-party products or services outside of Lenix's control.
13. Intellectual Property
The Lenix Services, including software, design, interfaces, workflows, graphics, logos, trademarks, documentation, and other Lenix-created materials, are owned by or licensed to Dig Dev LLC, doing business as Lenix Health and are protected by applicable intellectual property laws. Except as expressly permitted by Lenix, these Terms do not grant you ownership of the Services or Lenix intellectual property. Lenix grants authorized users a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purposes, subject to these Terms and any applicable agreement.
14. Feedback
If you voluntarily provide ideas, suggestions, or feedback concerning Lenix, you authorize Lenix to use that feedback to develop, improve, and operate its products and services without restriction or compensation to you. This provision does not transfer ownership of patient information, confidential organizational information, or other User Content to Lenix.
15. Service Availability and Changes
We work to maintain reliable Services, but we do not guarantee uninterrupted or error-free availability. The Services may occasionally be unavailable because of maintenance, updates, technical failures, third-party service interruptions, security events, or circumstances beyond our reasonable control. Lenix may modify features or functionality as the platform evolves.
16. Suspension and Termination
Lenix may suspend or terminate access to the Services when reasonably necessary to:
- Protect users or information
- Address security concerns
- Prevent fraud or misuse
- Enforce these Terms
- Comply with legal requirements
- Address nonpayment where applicable
- Protect the integrity of the Services
Organizations may also have separate contractual rights concerning termination and access. Obligations concerning confidentiality, intellectual property, liability, healthcare information, and other provisions that by their nature should survive termination will continue to apply.
17. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. Lenix does not warrant that the Services will be uninterrupted, error-free, completely secure, or that information or automated results provided through the Services will always be complete or accurate. Lenix does not guarantee placement, admission, provider availability, eligibility for benefits, reimbursement, payment, clinical outcomes, or suitability of any provider or facility. Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
18. Limitation of Liability
To the fullest extent permitted by applicable law, Dig Dev LLC, doing business as Lenix Health and its officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the Services. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited. If you or your organization has entered into a separate written agreement with Lenix, the liability provisions of that agreement may control where they conflict with these Terms.
19. Indemnification
To the extent permitted by applicable law, you agree to be responsible for claims, losses, or expenses resulting from your unlawful use of the Services, your material violation of these Terms, or your infringement of another person's rights. If you use Lenix on behalf of an organization, indemnification obligations may instead or additionally be governed by your organization's agreement with Lenix.
20. Privacy
Your use of the Services is also subject to the Lenix Privacy Policy, which describes Lenix's general information practices. Healthcare information may be subject to additional privacy and security requirements under applicable law and separate agreements.
21. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles, except where applicable law requires otherwise. Any dispute concerning these Terms will be subject to the jurisdiction of the appropriate state or federal courts located in Colorado, unless a separate written agreement provides otherwise or applicable law requires another forum.
22. Changes to These Terms
Lenix may update these Terms as the Services, business practices, or legal requirements change. When we update these Terms, we will revise the Last Updated date above. Where required by law or appropriate because of a material change, we may provide additional notice or require users to accept updated Terms before continuing to use certain Services.
23. Entire Agreement
These Terms, together with the Privacy Policy and any other agreements applicable to your use of Lenix, constitute the terms governing your use of the Services. If an organization has entered into a separate written agreement with Lenix and that agreement conflicts with these Terms, the separate written agreement will control to the extent of the conflict.
